Terms of Service
These Terms of Service ("Terms") are an agreement between you and Aurum Bridge LLC, a California limited liability company ("Aurum Bridge," "we," "us"). They govern your use of the Nasu: OTC mobile app (the "App") and this website (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Aurum Bridge does, and does not do
Aurum Bridge is a software provider. The App is a client interface for OTC crypto and fiat trading services that are provided by our licensed custody and trading partners ("Partners"), not by Aurum Bridge.
- Aurum Bridge does not hold, custody, or transmit client funds or crypto assets.
- Aurum Bridge does not execute trades and is not a party to any transaction between you and a Partner.
- Custody, trade execution, deposits, and payouts are provided by Partners under their own terms and licenses.
2. Eligibility and onboarding
- You must be at least 18 years old and legally able to enter into a binding contract.
- To use the trading services available through the App, you must complete onboarding, including identity verification. If you are a business client, this includes verifying the business and its authorized representatives. Aurum Bridge may decline to give you access to the App, and each Partner decides whether to open an account for you under its own requirements.
- If you use the Services on behalf of a business, you confirm that you are authorized to bind that business to these Terms.
- You may not use the Services if you are located in, or a resident of, a jurisdiction where using them would be unlawful, or if you are the subject of sanctions.
3. Partner terms
Before you can transact through the App, you will need to accept the terms of the relevant Partner. Your transactions are governed by the Partner's terms, including its pricing, settlement, deposits, payouts, custody, and dispute processes. Those terms are separate from these Terms. If these Terms conflict with a Partner's terms about a transaction, the Partner's terms control for that transaction. Aurum Bridge is not responsible for the acts or omissions of any Partner.
4. Using the App
- Balances. The App displays balances as reported by Partners. Partners' own records are the official record of your balances and transactions.
- Quotes. Quotes shown in the App are provided by Partners. Each quote is valid only for the time window shown with it. A quote that expires is void.
- Trade requests. When you accept a quote, the App sends your trade request to the Partner. The Partner decides whether to execute the trade and confirms it under its own terms.
- Deposits and payouts. The App shows the Partner's deposit instructions and lets you submit payout requests to the Partner. The Partner receives, holds, and sends funds and crypto assets. Aurum Bridge does not.
- Status. The App lets you track the status of your requests. Status information comes from Partners and may be delayed.
5. Fees
Any prices, spreads, or fees for transactions are set by the Partner and described in the Partner's terms. If Aurum Bridge ever charges a fee for using the App, we will tell you before the fee applies.
6. Your responsibilities
- Give us and our Partners accurate, complete, and current information, and update it promptly when it changes.
- Keep your login credentials and devices secure. You are responsible for all activity under your account.
- Tell us immediately at kiran@aurumbridgellc.com or (510) 366-9776 if you suspect unauthorized access to your account.
- Review each quote, deposit instruction, and payout detail carefully before you submit a request. Crypto transfers generally cannot be reversed.
- Report, and pay, any taxes that apply to your transactions.
7. Prohibited use
You agree not to use the Services:
- for any unlawful purpose, including money laundering, terrorist financing, fraud, or evading sanctions;
- with funds or assets that come from unlawful activity;
- on behalf of any person other than yourself or the business you are authorized to represent;
- to interfere with, disrupt, or gain unauthorized access to the Services, the App, or other clients' accounts; or
- to copy, reverse-engineer, resell, or build a competing service from the Services or the App.
8. Risk disclosure
Crypto assets are highly volatile and speculative. Their value can fall sharply or to zero over short periods. Prices can move between the time a quote is shown and the time a trade settles. Blockchain networks can be delayed, congested, forked, or attacked, and crypto transactions are generally irreversible. Crypto assets are not legal tender and are not backed by any government.
Aurum Bridge LLC is not a bank and does not hold your funds or crypto assets. Nothing in the App is a bank deposit with Aurum Bridge. Crypto assets are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency, and Aurum Bridge provides no deposit insurance. Only trade amounts you can afford to lose.
9. No investment advice
Aurum Bridge provides software only. We do not provide investment, financial, legal, tax, or accounting advice. Nothing in the Services is a recommendation to buy, sell, or hold any asset. You are solely responsible for your trading decisions and should consult your own advisers.
10. Intellectual property
The Services and the App, including their software, content, and branding, are owned by Aurum Bridge LLC or its licensors. While you have an account, we grant you a limited, personal, non-transferable, revocable license to use the App for its intended purpose.
11. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We also do not guarantee that information provided by Partners, including balances, quotes, and status updates, is accurate, complete, or current.
12. Limitation of liability
To the fullest extent permitted by law, Aurum Bridge LLC and its owners, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from or related to the Services. They will also not be liable for the acts or omissions of any Partner. Our total liability for all claims related to the Services is limited to the greater of (a) the amounts you paid to Aurum Bridge in the 12 months before the event that gave rise to the claim, or (b) $100. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Aurum Bridge LLC and its owners, managers, employees, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of law, or your misuse of the Services.
14. Suspension and termination
- You may close your Nasu: OTC account at any time. See Delete your account.
- We may suspend or close your access to the App if we reasonably believe you have broken these Terms, if your account poses a security or fraud risk, or if required by law. Where the law allows, we will notify you.
- Accounts, balances, and open transactions held with a Partner are handled by that Partner under its terms, including when your access to the App ends.
- Sections 3 and 8 through 13 and 15 survive termination.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Sacramento County, California. You and Aurum Bridge consent to the jurisdiction of those courts.

17. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the new version on this page and change the "Last updated" date. If we make material changes, we will notify you by email or in the App before they take effect. If you keep using the Services after the changes take effect, you accept the updated Terms.
